We may communicate with you by email, by posting notices on the Service, or through other electronic means. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

OnAnthem is a platform that connects merchants with partners to facilitate product distribution and sales. The Service includes:

To use the Service, you must create an account and provide accurate, complete information. You are responsible for:

• • All activities that occur under your account
• • Notifying us immediately of any unauthorized access

If you are a Merchant using the Service, you agree to:

• • Fulfill orders placed through partner channels in a timely manner
• • Comply with all applicable laws regarding product sales, consumer protection, and data privacy
• • Maintain valid authorization for any third-party platform integrations (e.g., Shopify)
• • Honor the commission rates and terms agreed upon with partners

If you are a Partner using the Service, you agree to:

• • Accurately represent merchant products on your storefronts
• • Not modify product information in misleading ways
• • Comply with all applicable advertising and consumer protection laws
• • Protect customer data in accordance with our Privacy Policy and applicable laws
• • Disclose in your privacy policy that the OnAnthem widget may collect page content (such as text, metadata, and URLs) from your site for the purpose of providing contextual product recommendations

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of data as described in the Privacy Policy.

When integrating with third-party platforms (such as Shopify), you authorize us to access and process data from those platforms as necessary to provide the Service, including:

• • Order and fulfillment data
• • Customer information necessary for order processing

You also acknowledge that the OnAnthem checkout widget, when embedded on partner websites, may collect and analyze page content (including text, metadata, and URLs) to provide contextual product recommendations. This page content may be processed by third-party AI services. No personal data of site visitors is collected for this purpose.

As a user of the Service, you acknowledge and agree that:

The Service and its original content, features, and functionality are owned by OnAnthem and are protected by intellectual property laws. You retain ownership of your content but grant us a license to use it as necessary to provide the Service.

Payment processing is handled through Stripe. By using payment features, you also agree to Stripe's terms of service. Commission payments are processed according to the schedules and terms established in your merchant-partner agreements.

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. OnAnthem does not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any content or data will be secure or not otherwise lost or damaged.

OnAnthem does not warrant or make any representations regarding the quality, accuracy, or availability of any products listed by merchants on the platform. Products are sold by independent merchants, and OnAnthem is not a party to the transaction between buyers and sellers.

To the maximum extent permitted by law, OnAnthem shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

You agree to indemnify and hold harmless OnAnthem and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

We may terminate or suspend your account at any time for violations of these Terms. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service will immediately cease.

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the modified Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Applicable federal law will also govern these Terms.

Any dispute or claim arising out of or relating to these Terms or your use of the Service shall be brought exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction and exclusive venue of such courts.
